CHARITABLE PLANNING ATTORNEY - CONNECTICUT OR FLORIDA OFFICES

Cummings & Lockwood is currently seeking an experienced Charitable Planning Attorney with 6+ years’ experience.  This position can be based in one of our Connecticut offices (Stamford, Greenwich or West Hartford) or Florida offices (Naples, Bonita Springs or Palm Beach Gardens).

Desired Qualifications:

  • Strong academic credentials with a J.D. degree from an ABA-approved law school and an active member in good standing in the Connecticut and/or New York or Florida bars
  • Structuring and formation of charitable organizations, including public charities and private foundations
  • Preparing and administering charitable remainder trusts and charitable lead trusts
  • Preparing applications for tax-exempt status
  • Reviewing income tax returns for charitable entities
  • Advising charitable organizations and charitable entities on all aspects of administration and governance
  • Advising individuals on charitable deductions and the structure of charitable gifts

CORPORATE TAX ATTORNEY - STAMFORD OFFICE

Cummings & Lockwood is currently seeking an experienced Tax Attorney with some level of portable business for its Stamford, Connecticut office.  The candidate will be a member of the Corporate & Finance Group and provide support to the firm’s Private Clients Group, as well as its Family Office & Closely Held Business Group.

Desired Qualifications:

  • Strong academic credentials with a J.D. degree from an ABA-approved law school and an active member in good standing in the Connecticut and/or New York bars
  • Six years or more of professional experience advising affluent individuals and families, their trusts, closely held businesses, investment entities and foundations and/or other public or private enterprises and charitable organizations with respect to a broad range of tax planning matters and transactions
  • Strong experience advising on tax structuring for mergers, acquisitions and other business combinations and divestitures, as well as corporate taxation at the federal, state and local levels
  • Strong experience with private client tax services, including personal income taxation, trust taxation, estate and gift taxation, charitable taxation, flow through entities and partnership taxation
  • Strong analytical skills, as well as excellent verbal and written communication skills, including the ability to research, interpret and articulate complex tax law
  • Superior client service skills with the ability to develop, maintain and grow outstanding client relationships

COMMERCIAL ATTORNEY - STAMFORD OFFICE

Cummings & Lockwood is currently seeking an experienced Commercial Attorney with some level of portable business for its Stamford, Connecticut office.  

Desired Qualifications:

  • Strong academic credentials with a J.D. degree from an ABA-approved law school and an active member in good standing in the Connecticut and/or New York bars
  • Six years or more of professional experience advising affluent families, family offices, closely held businesses or other business enterprises in some or all of the following areas:
    • Commercial transactions including licensing agreements, joint ventures. purchase and sale transactions business combinations and divestures
    • Drafting and negotiation of employment contracts and separation agreements
    • Entity formation, including partnerships, limited liability companies (LLCs), limited liability partnerships (LLPs), the negotiation and drafting of joint ventures and shareholder agreements
    • Corporate governance
    • ­Evaluating and undertaking different types of investments, including investments in private equity and hedge funds, angel and venture capital investing, and direct company investments
  • Experience with sports and entertainment transactions, including film, music and endorsement transactions is a plus, but not required
  • The ideal candidate will have broad experience and the willingness to work in a broad variety of commercial and corporate and investment projects

OFFICE ADMINISTRATOR, FLORIDA OFFICES

Naples office seeks Office Administrator for its three Florida offices:  Naples, Bonita Springs and Palm Beach Gardens.

Summary of Responsibilities

Overall Responsibility:  Oversee operational functions and facilities management, create and monitor budgets including headcount and staff compensation, plan and facilitate professional, social and management functions, implement and administer policy and procedures, maintain professional standards and ethics, mentor staff to provide superior client service, provide leadership and mentoring to staff, communicate, and be available at all times to assist with whatever is needed.

Primary Responsibilities and Essential Functions of the Job

Staffing
Recruit support staff, interview, negotiate hiring agreements, provide orientation and coordinate training, perform annual evaluations, discipline and/or manage termination process, be the “go to” person locally for benefits questions, minor problems, and policy and procedural issues, act as liaison for staff/attorney disputes, promote staff morale.

Information Central
Provide answers for inquiries from staff, attorneys, clients, vendors, and other administrators, and assist in public relations, civic activities, and practice development opportunities endorsed by the Partners.

Communication
Keep staff informed of special projects, activities, issues under consideration, future plans that impact staff, and solicit input when appropriate.

Ethics
Observe and work with staff to recognize unethical behavior and potential exposure.

Financial Management
Prepare annual budgets, submit monthly variance reports, maintain spending to keep expenses at/under budget, monitor Trust Accounting to safeguard against Bar violations, prepare real estate closing disbursements, perform monthly bank reconciliations for Trust Accounts and Operating Accounts, monitor accuracy of Account Payables, oversee Billing workflow, and Cash Application.

Facilities Management
Maintain good repair and efficient operation of office utilities, equipment, furniture, artwork, leasehold improvements, coordinate and facilitate inner-office moves, space planning, design, purchasing, equipment leasing and oversight of construction.

Office Services
Supervision of all administrative staff, including Receptionist, Billing, Accounting, Word Processor, Floating Secretary, Records, Office Services, and in coordination with Connecticut, the Senior IT Administrator and Florida Records Coordinator.

Professional, Social and Management Functions
Plan for and facilitate group activities, including Professional Advisors’ Receptions, Client Seminars, Attorney Dinners and Retreats, Summer Outings, Holiday Parties, Birthday Parties, and other ceremonious events as they arise.

Special Projects

Office Moves
Plan, coordinate and facilitate moving complete office into new space, including space planning, design work, and overseeing construction build-out.

Office Openings
Orchestrate successful integration of offices and/or practice groups which may be acquired from time to time, including personnel transitions, training, and any local marketing strategies.

Office Closings
Take the lead in closing an office or practice group, and provide leadership to direct reports involved in the process, including disposition of furniture and fixtures, equipment, intellectual and proprietary property, notification of clients, file transfers, operational contracts, banking relationships, and personnel, while maintaining confidentiality.

FIDUCIARY TAX ACCOUNTANT - STAMFORD OFFICE

Stamford office seeks full-time Fiduciary Tax Accountant with an extensive knowledge of Trusts & Estates practice. General knowledge of law firm practice and procedure is required.

Summary of Responsibilities

  • Identifies, collects, analyzes, abstracts, organizes and maintains facts and documents in accordance with correct legal practice and procedure

  • Identifies, collects, analyzes, abstracts, organizes and maintains financial statements and spreadsheets related to client investments

  • Develops and maintains working relationships with clients and personnel both inside and outside the firm to obtain and clarify information needed to substantiate facts, identify documents and otherwise support legal actions
  • Develops, implements and maintains tracking and accounting systems for sophisticated client investments to facilitate preparation of U.S. trust tax returns
  • Organizes and maintains information, facts, records and other documents necessary to support legal actions
  • Assists in analysis of legal proceedings to identify problems, needs and procedures

Primary Responsibilities & Essential Functions of the Job

  • Prepare federal and state death tax returns
  • Prepare federal and state income tax returns for decedent's estates, testamentary and inter vivos trusts
  • Prepare individual, fiduciary, partnership and non-profit organization tax returns
  • Prepare gift tax returns
  • Prepare estate and trust probate accountings
  • Prepare related filings, planning and analysis for all accountings and returns
  • Trust and estate administration
  • Verbal and written communications with clients, trustees, banks, etc.
  • Track due dates and see that returns and accountings are filed timely or extended where applicable

Specific Skills Required

  • Knowledge of accounting and trust procedures
  • Knowledge of individual, partnership and corporate balance sheets
  • Knowledge of the legal functions used in the processing of trusts and estates
  • Ability to develop, organize and maintain electronic data collection
  • Ability to effectively manage case materials
  • Proficient in MSExcel
