Real Estate Group: Financing and Mortgages
 

Our attorneys offer a variety of services to clients interested in raising, and investing, equity capital in real estate investments, or converting real estate assets into capital for other investment purposes.  We represent lenders, borrowers, trustees and loan servicers in all aspects of real estate financing.  Clients include: syndicators and developers who want to raise equity capital; investment trusts, venture capitalists, investment advisors and underwriters who sell securities in both private and public offerings; and financial institutions, other collateralized-obligation issuers, master and special servicers and individuals contemplating making their own investments in real estate ventures.  We are experienced in securitized finance transactions, including:

    • Representing lenders and borrowers in all aspects of loans and securitization transactions
    • Representing lenders providing mezzanine financing
    • Originating loans for securitized pools
    • Reviewing disclosure documents
    • Counseling clients on tax-advantaged structures
    • Preparing convertible debt instruments and special limited partnership agreements
    • Assisting with mortgage and other asset-backed securities
    • Assisting in credit-enhancement, and structuring non-conventional financing
    • Operating partnership, and limited partnership, units
    • Forming real estate equity investments, designed for tax-exempt institutions, including pension plans and endowment funds
    • Handling sophisticated loan restructuring, and problem loan workouts

We have been involved in virtually every type of real estate investment, including new and existing office buildings, moderate-income and luxury multifamily housing projects, hotels, regional shopping centers, industrial centers, condominiums, old and historic building rehabilitation, and sale/leaseback transactions.
