Bruce B. Wood is a Principal in the Commercial Group resident in the Stamford office.  Mr. Wood chairs the Firm’s corporate practice group and concentrates on M&A and other business transactions, securities offerings and investment transactions, and public company representation.  Mr. Wood represents public and private companies in mergers, acquisitions, dispositions, reorganizations and similar business transactions, and counsels private equity sponsors in connection with their investment activities.  He also advises issuers and selling stockholders in public and private offerings of securities, and represents venture capital and hedge fund investors in their investment transactions.  In addition, he provides advice and guidance to public companies on governance and compliance issues, including matters requiring special investigations.

These representations have included:
  • i2 Technologies, Inc., a public software company, in connection with various acquisition, disposition, joint venture and corporate finance transactions as well as periodic reporting, governance and compliance matters;
  • Greenwich Street Capital Partners, The Riverside Company and other private equity sponsors in numerous acquisition and investment transactions;
  • 2100 Capital Group's acquisition of a controlling interest in Larch Lane Advisors, LP;
  • Rule 144A offerings of senior and subordinated debt securities in acquisition finance transactions on behalf of private equity sponsors such as Citigroup Venture Capital (now Court Square Capital Partners) and Bruckmann, Rosser, Sherrill & Co.; and
  • Numerous hedge fund and hedge fund manager investments by a fund-of-funds managed by Capital Z Asset Management.
Mr. Wood was admitted to practice in New York in 1982 and is also admitted in Connecticut and the District of Columbia.  He is a member of the Association of the Bar of the City of New York, where he recently served on the Corporation Law Committee.  He is also a member of the American Bar Association.  Mr. Wood received his B.A. from Hamilton College in 1978 and his J.D. from Fordham University School of Law in 1981.  Prior to joining Cummings & Lockwood, Mr. Wood was a partner at Dechert LLP in New York City.
