Our engagements by venture capital funds include: (i) representation of the fund during its capital raising process and the negotiation and documentation of its fund agreements with investors; (ii) advice to the fund regarding, and the negotiation and documentation of, its majority and minority investments; and (iii) representation of the fund in its investment exit process. Our engagements by entities receiving venture capital investment include: (i) advice with respect to the structure of the investment regarding taxation matters and securities laws issues; (ii) the negotiation and documentation of the investment agreements, typically the securities purchase agreement, shareholders agreement, restated charter, management stock option agreements and employment agreements; and (iii) subsequent to the closing of the investment, advice with respect to compliance with the terms and conditions of the investment documents.
