Members of our Real Property Group have represented real estate investment trusts ("REITs"), partnerships that have merged with, or rolled-up-into, REITs, and partnerships and limited liability companies affiliated with REITs, in a variety of transactions. Our attorneys have expertise, and have provided advice and services to REITs, in the following principal areas:
- Forming, capitalizing, and offering the securities of REITs, downREITs, and UPREITs, in both public offerings and private placements
Acquiring and selling various real estate projects, in both taxable and non-taxable transactions
Preparing contribution agreements, operating agreements and merger documents, in connection with the acquisition of properties, and the merger, consolidation, and roll-up of various partnerships into UPREITs and downREITs
Financing REIT portfolios, including secured and unsecured loans
