Real Estate Group: REIT Acquisitions, Financings and Exchange Offers

Members of our Real Property Group have represented real estate investment trusts ("REITs"), partnerships that have merged with, or rolled-up-into, REITs, and partnerships and limited liability companies affiliated with REITs, in a variety of transactions.  Our attorneys have expertise, and have provided advice and services to REITs, in the following principal areas:

    • Forming, capitalizing, and offering the securities of REITs, downREITs, and UPREITs, in both public offerings and private placements
    • Acquiring and selling various real estate projects, in both taxable and non-taxable transactions
    • Preparing contribution agreements, operating agreements and merger documents, in connection with the acquisition of properties, and the merger, consolidation, and roll-up of various partnerships into UPREITs and downREITs
    • Financing REIT portfolios, including secured and unsecured loans
    • Refinancing REIT debt through secured and unsecured loans, utilizing bottom guarantees to preserve the tax-free nature of the roll-ups into the operating partnership
    • Handling mergers and consolidations of REITs into other REITs
    • Advising on a variety of partnership and limited liability company issues affecting UPREITs and downREITs, including the preparation of partnership and operating agreements
    • Preparing periodic reports for filing with the SEC and state securities agencies
    • Preparing registration statements and prospectuses involving public offerings of securities by REITs
    • Preparing exchange offers and private placement memoranda involving contributions of properties and roll-ups of partnerships into UPREITs, as well as advice concerning proxy materials and other solicitations of limited partners
    • Complying with SEC, AMEX, NYSE, and NASDAQ rules and regulations
